WIT WEBBING - Terms & Agreement

Websites and Web Packages (Domain Name registration + Websites + Web Hosting)

In addition to our 'General Conditions', the client and WIT Webbing agree on the following articles.

“Us” or “we” means WIT Webbing.

“You” means the Client.

" Website" means a website designed by WIT Webbing

“ Web Package” means the Client’s website designed and hosted by WIT Webbing including design, website, domain name registration, web hosting and search engines submission

“Bank Account” means the bank account held at the Client’s financial institution from which WIT Webbing is authorized to arrange for funds to be debited/credited.

“DDRS Agreement” means this Direct Debit Request Service Agreement between the Client and WIT Webbing.

“Banking day” or “Working Day” means a day other than a Saturday or a Sunday or a public holiday listed throughout Australia.

“Debit day” means the day that payment by the Client to WIT Webbing is due.

“Debit payment” means a particular transaction where a debit is made.

“Your financial institution” is the financial institution where the Client holds the account that he/she has authorized WIT Webbing to arrange to debit.

A "Month" is a calendar month.

1. Description of the Products and services

“1 html page” is understood to be the size of an Internet page in HTML format on a 15” screen 800x600 resolution | Each page includes 1 Html static banner, 1 HTML roll-over navigation bar, a text not exceeding 400 words and a maximum of 5 mp3 or 5 photos or 5 files (smaller than 3Mo each) or 1 video (smaller than 3Mo).

1.1 General Features:

The features, content and prices of our websites and web packages are as they appear on our website and on the client's order form at the time of the purchase.

2. Domain Name registration:

For all Web Packages, WIT Webbing proceeds to the registration of the client's domain name on his/her behalf to Melbourne IT. Melbourne IT is an auDA accredited registrar.

The Domain Name Registration service is strictly reserved for WIT Webbing's customers who purchased at least 1 other product/service from us.

The Domain Name Registration service can not be sold separately and must be bundled with at least 1 other product/service provided by WIT Webbing.

The client is the only owner of his/her domain name.

The client acknowledges that the domain name for his/her company may not be available. In such case, WIT Webbing will suggest other domain names or termination (.com.au or .net) to the client and extra fess may apply.

Domain Names in '.com.au" are reserved for Australian Businesses only. The client must provide with an ABN to register such domain name.

The Domain name registration duration is 1 year for a .com or .net and 2 years for a '.com.au'. NO REFUND.

3. Unlimited Web Hosting:

3.1 General Definition: For all Web Packages, the customers' website is hosted (saved) on WIT Webbing's Windows Servers 2003 - based in Australia and provided by Web24 Pty Ltd.

WIT Webbing Web hosting service is strictly reserved for WIT Webbing's customers who purchased at least 1 other product/service from us.

WIT Webbing Web Hosting can not be sold separately and must be bundled with at least 1 other product/service provided by WIT Webbing.

Apart in some very particular cases, WIT Webbing DOES NOT host external websites (designed by another company).

The initial duration of the service is 1 year. NO REFUND.

3.2 Definition of "Unlimited": Unlimited Web Hosting means that there is no limit of storage space for your website on our servers and no limit of bandwidth (or data transfer).

Each hosting starts with a 10Mb storage space. This number can easily be increased on request and at NO charge. However, WIT Webbing Unlimited Web Hosting is subject to a "fair use" policy that commits the customer's responsibility.

Both WIT Webbing and the customer agree that a "fair" website should not be bigger than 150Mb and that a "fair" usage (bandwidth or traffic) must not be bigger than 1Gb per month.

Should the website storage space exceeds 150Mb and/or traffic exceeds 1Gb, terms & conditions outlined here will simply be redefined between the client and WIT Webbing. In any case, WIT Webbing reserves the right to accept, reject or charge such excess usage and/or traffic.

4 Paypal Checkout Integration

4.1 Paypal Business Account: In the frame of some services, the client must possess a Paypal Business Account. If the client doesn't have a Paypal Business Account, he/she gives WIT Webbing full authority to create a Paypal Business Account on the Client's behalf. The client agrees to provide WIT Webbing with his/her bank detail that will be required for the creation of his/her Paypal account. More information on: www.paypal.com.au. If he/she already has a Paypal Business Account, the client agrees to provide WIT Webbing with his/her Paypal Account detail.

4.2 Transaction Fee: Funds collected through the online sale of the Client’s products and services will be credited to the bank account of the Client through Paypal secured process. It may takes several working days for the funds to appear on the client Bank Statement. WIT Webbing DOES NOT TAKE any commission or fees from those transactions. 5. Your website's Security:

5.1 The security of our customers' websites is a priority for us. Therefore, to avoid any mistake and/or malicious use that may represent a danger for our customers' websites, be advised that WIT Webbing never provides the customer with the access codes to its servers (nor FTP access codes).

5.2 The client agrees he/she will not be allowed and/or will not intend to add nor remove by himself/herself any content (pages, pictures, files, videos, etc.) to his/her website.

5.3 Any web content must be added to or removed from the client's website by a WIT Webbing staff member. Besides the normal price of the added element itself, the addition of an internal element (=designed by us) to the client's website is FREE of charge. Extra fee applies for the addition of an external element (designed by another company/designer).

In all cases, WIT Webbing can not be held responsible for any damage or malfunction caused to the Client's website by a web element added directly by the client.

In all cases, WIT Webbing may charge the client for any intervention that may be necessary to fix a problem caused by an element added directly by the client on his/her website.

6. Delays of implementation of service

The Agreement and the payments are effective from day 1 of the Agreement. WIT Webbing will implement the services ordered by the client within 15 working days after the client's deposit has been received in full by WIT Webbing. For technical reasons, this delay can be extended to three weeks without this causing a legitimate motive of cancellation for the Client. The Client is aware and accepts that this delay is indispensable for the construction and implementation of his/her website on the network and that this delay is an integral part of the services described in his/her subscription. | The Client is aware and accepts the fact that adding options may further extend the delay of implementation.

7. Prices, Payment & GST

8. Adding & Removing features:

8.1 Adding Features: We can add as many options as you want to your Web Package and at any time. The only thing you will have to pay is the price of the new option you chose. No extra fee will charged for its implementation. The prevailing price for an option is the one indicated on our website on the date of your new order.

8.2 Removing Features: We can not remove features that are included in your Web Package. However, if you do not want them to appear on your website, we will just make them inaccessible for your visitors. In such case, no refund will occur but no fee will be charged either.

9 Upgrade & Downgrade:

9.1 Upgrade: You may upgrade your Web Package at anytime. There are no upgrade fees or additional charges to upgrade your Web Package. We will only charge you the difference of price. The prevailing price of the new Web Package is the one indicated on our website on the date of your new order.

9.2 Downgrade: You may downgrade your Web Package at anytime. There are no fees or additional charges to downgrade your Web Package. No refund will be given from downgrading your Web Package.

10. Contract Renewal

10.1 Renewal: The client acknowledges that some services included in our Web Packages such as Domain Name registration and Web Hosting are subject to automatic renewal at the end of their terms for their initial duration and charged at the prevailing rate on the renewal date.

10.2. Non-reconduction: At the end of their period (12 months), the Client can oppose the tacit reconduction of one of these services (or both) by way of a letter addressed to WIT Webbing at least 5 working days before the date of renewal.

10.2.1 Non-reconduction a the Web Hosting service: If the customer decides not to renew his/her web hosting with our company, WIT Webbing will provide the customer with all the files included in his/her website on a cd-rom (a $49.00 fee applies per website).

10.2.2 Non-reconduction a the Domain Name Registration: The client acknowledges that if the registration of the domain name is not renewed on time, the domain name will become publicly available and can therefore be purchased and registered by any other party. In such case, WIT Webbing can not be held responsible for the loss of a domain name.

11. Cancellation

11.1 Change of mind: Read our "General Conditions"

11.2 Cancellation:

11.2.1 The client may cancel an order within the 5 working days following the order. If cancelled within the 5 working days following the order, WIT Webbing will refund the client fully. Over the 5 working days following an order, no refund will occur.

11.2.2 Refunds shall be provided for whole months only; parts of a month shall be rounded down. They cannot be given for products or services WIT Webbing has purchased from 3rd party providers (such as domain names, SSL, etc).

11.2.3 Any cancellation of a Web Hosting contract by the Client before the due date will attract a AU$ 70.00 management fee to be paid by the Client. If the customer wishes to cancel his/her web hosting and under the condition that there is NO outstanding fees, WIT Webbing will provide the customer with all the files included in his/her website on a Cd-rom (a $49.00 fee applies per website).

11.2.4 A domain name registration can not be cancelled before the end of the term of the registration. However, a Domain name can be transferred to another registrar, in such case, a $70.00 transfer fee will apply. No refund can be given for a Domain Name registration.
